Mandatory Arbitration

THESE TERMS OF USE CONTAIN A MANDATORY DISPUTE RESOLUTION PROVISION IN THE GOVERNING LAW AND DISPUTE RESOLUTION SECTION BELOW, WHICH REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES. PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE SERVICES.

Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and HumanOS ("HumanOS," "we," "us," or "our") governing your access to and use of our verified human capability platform, API, matching services, and related tools (collectively, the "Services"), made available through our website, software, applications, and related platform ("Platform").

You acknowledge that your use of the Platform and Services is also governed by our Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

"Human" means an individual who registers to offer verified capabilities and may be matched to tasks through the Platform.

"Task" means a request for human judgment, field work, verification, research, evaluation, or other capability routed through the Platform.

"Capability Profile" means information describing a Human's skills, availability, verification status, and related attributes used for matching.

"Evidence" or "Report" means outputs, media, attestations, or deliverables generated in connection with a Task.

"User" includes Customers, Humans, website visitors, administrators, and any person or entity using the Services.

Eligibility and Authorised Representatives

You may use the Services only if you are at least 18 years of age, have the legal capacity to enter into a binding contract, and are not prohibited by applicable law from using the Services. If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. You are responsible for all actions taken through your account or by any person you authorise to access the Services on your behalf.

Description of Service

HumanOS provides technology that translates natural-language tasks and API requests into approved capabilities, verified human capacity, and evidence-backed results. The Services may include task posting, capability matching, verification workflows, evidence delivery, workspace administration, and API access. The Services are provided for operational and decision-support purposes only. We do not guarantee the accuracy, completeness, timeliness, or suitability of any information, match, Evidence, or verification result.

Suspension, Modification and Termination of Service

The Services may be modified, suspended, or discontinued in whole or in part at any time where reasonably necessary to protect platform security, comply with law, prevent abuse, or preserve HumanOS's commercial interests. HumanOS will have no liability for any consequences that you may incur as a result of any such termination, modification, or suspension, except as required by applicable law.

No Guarantee of Outcomes

HumanOS does not provide legal, financial, employment, or other professional advice. Any information provided through the Platform, including matches, Capability Profiles, Evidence, and recommendations, is intended for your general operational use only. Reports and verification results are advisory only. HumanOS does not guarantee that any Task will be fulfilled, that any Human will be suitable for a given assignment, or that any decision you make based on the Services will produce a particular outcome. You are solely responsible for your business, hiring, deployment, and operational decisions.

Account and Registration

You must provide accurate, current, and complete information when registering or using the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly of any unauthorised use.

User Obligations and Prohibited Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

provide false, misleading, or inaccurate information;

use the Services in violation of applicable law or regulation;

use the Services to harass, defame, impersonate, or harm any person;

request or facilitate surveillance, stalking, or processing that bypasses reasonable privacy safeguards;

copy, scrape, reverse engineer, or attempt to derive source code or underlying data from the Platform except as permitted by law;

resell, sublicense, or commercially exploit the Services or Reports except as expressly permitted;

introduce viruses, malware, or other harmful code;

interfere with or disrupt the integrity, security, or performance of the Services or our systems.

We may suspend or terminate your access immediately for breach of this section or where reasonably necessary to protect the Platform, other users, or HumanOS.

API Use

If you access the HumanOS API, you must comply with any published documentation, rate limits, authentication requirements, and usage restrictions. You are responsible for securing API credentials and for all activity conducted through your keys. HumanOS may monitor API usage to maintain security, enforce these Terms, and improve the Services.

Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT, REPORTS, MATCHES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. HUMANOS IS NOT RESPONSIBLE FOR DECISIONS MADE BY USERS BASED ON MATCHES, REPORTS, OR INFORMATION OBTAINED THROUGH THE SERVICES.

Future Functionality

You acknowledge that your access to the Platform is based on the functionality available at the time of account creation or first use. Any statements describing possible future features, enhancements, or integrations are for informational purposes only and are not binding commitments.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HUMANOS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HUMANOS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (GBP 100).

Indemnification

You agree to indemnify, defend, and hold harmless HumanOS and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms or applicable law, your violation of any third-party right, or any decision or action you take based on the Services or any Report.

Intellectual Property

The Platform, including its design, software, text, graphics, logos, matching methodologies, and all content other than user-provided content, is owned by HumanOS or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business use. You may not copy, modify, distribute, sell, license, or create derivative works from the Platform except as expressly permitted.

Fees and Payment

Fees for the Services are as displayed during checkout, in an order form, or as otherwise agreed in writing. Unless otherwise stated, fees paid for the Services are non-refundable. We may change our fees from time to time; your continued use after a fee change constitutes acceptance of the revised fees.

Termination

We may terminate or suspend your access to the Services at any time where reasonably necessary, including for breach of these Terms, misuse of the Platform, fraudulent or unlawful activity, or legal or security requirements. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.

Modifications to the Service and Terms

We may update, modify, suspend, or discontinue any part of the Services, including these Terms, from time to time. Updated Terms will be posted on the Platform with a revised effective date. Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Services.

Governing Law and Dispute Resolution

These Terms, and all claims arising out of or relating to them or the Services, shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding, individual arbitration under the LCIA Rules, with the seat of arbitration in London, England, unless applicable law requires otherwise. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in the courts of England and Wales to protect intellectual property, confidential information, or system security.

Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies we publish on the Platform, constitute the entire agreement between you and HumanOS regarding the Services.

Assignment and Subcontractors

You may not assign these Terms without our prior written consent. We may engage subcontractors to perform any part of the Services where necessary, subject to confidentiality and data protection obligations consistent with applicable law.

Force Majeure

HumanOS shall not be liable for any delay or failure to perform obligations under these Terms to the extent caused by events beyond its reasonable control, including natural disasters, war, terrorism, labour disputes, governmental actions, telecommunications failures, cyberattacks, or failures of third-party service providers.

Electronic Transmission

You agree to electronic communication and that electronic acceptance of these Terms has the same binding effect as a signed written agreement.

No Partnership or Agency

These Terms do not create any partnership, joint venture, agency, or employment relationship between you and HumanOS. Humans using the Platform are independent participants and not employees or agents of HumanOS unless expressly agreed otherwise in writing.
